Terms of Service

1. Acceptance of Terms

By accessing or using the Kora School Portal ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms constitute a legally binding agreement between you and Kora Innovations ("Kora", "we", "us", or "our"), a company organized under the laws of the Republic of the Philippines.

If you are accepting these Terms on behalf of a school, institution, or other legal entity, you represent and warrant that you have the authority to bind that entity. In such case, "you" refers to that entity.

2. Description of Service

Kora School Portal is a cloud-based school management system designed for Philippine K-12 schools. The Service provides tools for:

• Student enrollment and academic record management
• Grade computation and report card generation (aligned with DepEd Order No. 8, s. 2015)
• Attendance tracking (RFID-based kiosk and manual class attendance)
• Section, subject, and teacher assignment management
• Parent portal for monitoring student progress
• Administrative dashboards and school year management

The Service is provided as Software-as-a-Service (SaaS). We host and maintain the platform; you access it via a web browser.

3. User Accounts and Roles

The Service supports multiple user roles: Administrator, Teacher, Student, and Parent. A single user may hold multiple roles (e.g., a teacher who is also a parent).

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying your school administrator immediately of any unauthorized access

School administrators are responsible for creating, managing, and deactivating user accounts within their institution. Kora does not independently verify the identity of end users; the subscribing school bears that responsibility.

4. Acceptable Use

You agree to use the Service only for its intended educational and administrative purposes. You shall not:

• Use the Service for any unlawful purpose or in violation of any applicable Philippine law
• Attempt to gain unauthorized access to other users' accounts or data
• Upload or transmit malicious code, viruses, or harmful content
• Scrape, harvest, or extract data from the Service by automated means
• Misrepresent your identity or role within the platform
• Use student or personnel data for commercial, marketing, or purposes unrelated to school operations
• Share login credentials with unauthorized third parties
• Circumvent or disable any security features of the Service

5. Data Ownership and Processing

The subscribing school is the Personal Information Controller (PIC) under Republic Act No. 10173 (Data Privacy Act of 2012). The school owns and controls all data entered into the Service, including student records, grades, attendance, and personnel information.

Kora acts as a Personal Information Processor (PIP), processing data solely on the school's behalf and according to the school's instructions. We do not sell, rent, or share school data with third parties for their own purposes.

6. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service is provided on a "best-effort" basis.

We may temporarily suspend access for maintenance, upgrades, or emergency repairs. Where practicable, we will provide advance notice of scheduled maintenance. We are not liable for any loss or damage arising from service interruptions, including but not limited to data loss during outages.

7. Intellectual Property

The Service, including its software, design, user interface, documentation, trademarks, and logos, is the intellectual property of Kora Innovations and is protected under Philippine intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of the Service, nor reverse-engineer or attempt to extract source code.

Content you or your school upload to the Service (e.g., student records, photos) remains your property. You grant Kora a limited license to host, store, and process such content solely to provide the Service.

8. Payment Terms

Access to the Service is subject to the subscription plan agreed upon between the subscribing school and Kora Innovations. Payment terms, including fees, billing cycles, and accepted payment methods, are specified in the subscription agreement.

Failure to pay may result in suspension or termination of access to the Service. We will provide reasonable notice before suspension for non-payment.

9. Termination and Data Export

Either party may terminate the subscription in accordance with the terms of the subscription agreement. Upon termination:

• The school may request a full export of its data in a machine-readable format (CSV/JSON) within thirty (30) days of termination.
• After the 30-day export window, Kora may delete the school's data from its active systems, subject to legal retention obligations.
• Backups containing the school's data may be retained for up to ninety (90) days after deletion from active systems, after which they will be permanently destroyed.

Kora may immediately suspend or terminate your account if you materially breach these Terms, including violations of the Acceptable Use Policy.

10. Limitation of Liability

To the maximum extent permitted by Philippine law:

• Kora's total liability for any claim arising from or related to the Service shall not exceed the total fees paid by the subscribing school in the twelve (12) months preceding the claim.
• Kora shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, or business interruption.
• Kora is not responsible for the accuracy of data entered by school users, nor for decisions made based on such data (e.g., promotion, retention, grading decisions).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Philippine law, including liability for fraud, gross negligence, or willful misconduct.

11. Indemnification

You agree to indemnify and hold harmless Kora Innovations, its founders, officers, and employees from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Changes to These Terms

We may update these Terms from time to time. We will notify subscribing schools of material changes at least thirty (30) days before they take effect, via email to the registered school administrator or through an in-app notice.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Service.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines.

Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may submit the dispute to mediation under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).

If mediation fails, the dispute shall be resolved by the appropriate courts of the Philippines. You agree to submit to the exclusive jurisdiction of the courts located in the Philippines.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
